1. Agreement
These Terms of Service (“Terms”) govern your access to and use of the RdR Library Network Toolkit (the “Service”) provided by ABCwebsites, operated by Kyle Atkins (“we”, “us”). By subscribing to or using the Service, you (“Customer”, “you”) agree to these Terms. If you accept on behalf of an organisation, you confirm you have authority to bind it.
2. The Service
The Service is a suite of digital tools for libraries and organisations (polls, word clouds, forms, attendance, question boards, reading projects and related features), offered on a subscription basis. Available features depend on your subscription tier. We may improve, change, or discontinue features over time and will give reasonable notice of material adverse changes.
3. Accounts and access
- You receive a personal access code on subscribing. You are responsible for keeping it confidential and for activity under your account.
- You must provide accurate account information and keep it current.
- You must not share, resell, or sublicense access beyond the scope of your subscription tier.
4. Subscriptions, billing and refunds
- Subscriptions are billed in advance on a monthly or annual basis via our payment processor, Stripe. Prices are in EUR and are exclusive of VAT. Applicable VAT is added at checkout based on your location and status (customers with a valid EU business VAT number may qualify for the reverse-charge mechanism).
- Subscriptions renew automatically until cancelled. You may cancel at any time, effective at the end of the current billing period.
- Refunds. Except where a different or longer right applies under mandatory consumer law:
- Within the first 30 days of your initial subscription, you may request a refund of 90% of the fees paid for the current subscription period. The 10% retained covers payment-processing and administration costs.
- After the first 30 days, refunds are granted at our discretion up to a maximum of 70%, calculated on the unused remaining portion of the paid period and decreasing pro-rata over time (the longer into the period, the lower the refund).
- Cancelling stops future renewals but does not, by itself, entitle you to a refund beyond the amounts above.
- Approved refunds are issued to the original payment method via Stripe. VAT already remitted may be non-recoverable and adjusted from the refunded amount accordingly.
- We may change prices with at least 30 days’ notice; changes take effect at your next renewal.
- If a payment fails or a subscription lapses, access may be suspended or revoked.
5. Acceptable use
You agree not to: use the Service unlawfully or to process unlawful, harmful or infringing content; upload malware, attempt to breach security, scrape, or reverse-engineer the Service; misuse others’ personal data or send unsolicited messages; or resell the Service except as your tier permits. We may suspend access for serious or repeated breaches.
6. Customer data and privacy
- You retain ownership of the content and data you and your audiences submit (“Customer Data”).
- Where we process personal data on your behalf, we act as your processor under our Data Processing Agreement (DPA), which forms part of these Terms.
- You are responsible for having a lawful basis and any required notices/consents for the data you collect, and for the lawfulness of your Customer Data.
- Our handling of personal data is described in our Privacy Policy.
7. Intellectual property
The Service, its software, design and content (excluding Customer Data) are owned by us or our licensors and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. These Terms transfer none of our intellectual property to you. Feedback you provide may be used to improve the Service without obligation to you.
8. Third-party services
The Service relies on third parties (Stripe, Brevo, Make, our host, Plausible). Their availability and terms are outside our control, and we are not liable for their acts or outages beyond our reasonable control.
9. Availability and disclaimers
We aim for high availability but do not guarantee the Service will be uninterrupted or error-free. To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind. Nothing in these Terms excludes liability that cannot be excluded under Maltese or EU law (including certain consumer rights).
10. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential losses, or loss of data, revenue or goodwill; and our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid us for the Service in the 12 months preceding the event giving rise to the claim.
11. Indemnity
You agree to indemnify us against claims arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of law or third-party rights.
12. Suspension and termination
You may terminate by cancelling your subscription. We may suspend or terminate access for breach, non-payment, or legal/security reasons. On termination your right to use the Service ends; Customer Data handling on termination is governed by the DPA.
13. Changes to these Terms
We may update these Terms. Material changes will be posted here with a new date and, where appropriate, notified by email. Continued use after changes take effect constitutes acceptance.
14. Governing law and disputes
These Terms are governed by the laws of Malta, and the courts of Malta have jurisdiction, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.
